Custom Packing Guidelines

I. Private Label and Co-packing Overview:

Private labeling and custom packing are services offered by Quality First International Inc. Clients may choose their own packaging materials which are ordered and delivered at their expense or they may choose to use any of the standard packaging and materials offered by Quality First International Inc. Private label accounts are responsible for designing and producing their own labels for the product.

For co-branding- including the use of the name Virgin Oil de Coco-Crème®- clients may use the existing brand, product information, promotional materials, and label design with their logo and contact information printed on the materials. Changes in design or content of these materials developed by Quality First International Inc. must be approved by Quality First International Inc. Materials include, but are not limited to: brochures, labels, website materials and advertisements. Product images and pricing structures must be compatible with the image desired by Quality First International and are subject to approval. Packing of product under Co-branding option will be under the control of Quality First International Inc. to ensure quality control.

II. Private Label Details

1. Quantity Requirements
   1. Minimum qty. is 1 pallet, with a maximum of 2 different packaging sizes. Or a minimum purchase of $6000.00 (USD or CAD). (Please refer to pallet lay out for details).
   2. Less than a pallet load quantity can be negotiated for existing customers with a minimum of $1500.00 (USD or CAD) order. This must be discussed by a Quality First International approved agent. The rate for less than a pallet load varies on a case-by-case basis.
2. Packaging
   QFI’s price quotations include packing and packaging using QFI’s standard packaging materials. Clients requiring
   different packaging must provide and make arrangements to deliver their own packaging to QFI’s facilities.
3. Labeling
   The client must provide their own labels and should arrange for the design and printing of these labels. All labels
   should be in flexo rolls suitable for an automatic labeling machine. (The label specifications will be provided by QFI.)OPTIONS:
   1. Canada only: QFI can supply blank product (without label) for domestic clients.
   2. USA/International: QFI can supply product with temporary label containing generic product information (for Customs’ purposes). Clients may replace the temporary label with their own to achieve the desired aesthetics.
   3. Regulatory Compliance: For International Clients, QFI will review the label for claims and nutritional panels to be sure it complies to specific regulation requirements.
4. Shipping
   1. Quotes are FOB from 2 locations: Guelph, Ontario, Canada; and/ or Buffalo, NY, USA.
   2. For less than pallet load quantities, products are FOB Guelph, Ontario, Canada.
5. Brand Name Use(see also co-branding/co-packing)
   1. The brand name Virgin oil de Coco Crème® is for the exclusive use of QFI Inc. and its co-branded clients.
   2. Re-packers and private labelers are NOT authorized to use the registered trademark
   3. Private label can be licensed to use the trademark under certain conditions. Please ask for details.
6. Payment Terms
   1. We require pre-payment for all new accounts.
   2. Payment may be made via bank transfer, company cheque, or credit card (Visa, Mastercard or American Express)
   3. A discount of 3% applies to all cash transaction (i.e. bank transfer).
7. Lead TimeMinimum lead time from receipt of payment, labels and packaging is 10 working days.
8. Documents and Promotional Materials (see also co-branding/co-packing)
   Quality First International’s labels, the brand Virgin Oil de Coco-Crème®, descriptions and promotional materials may be used with expressly obtained permission from Quality First International Inc. This permission should show on the text as copy right with permission from Quality First International. The label must state: “Virgin Oil de Coco-Crème® is a registered trademark of Quality First International Inc and is used under license” The same rules apply to other QFI’s branded products.

III. Co-Branding/Co-Packing

Packaging and Labeling. QFI’s co-packing quotation includes packaging and labels, and label design based on QFI’s standard label with allowance for minor changes such as the replacement of logo and company information. Clients requiring different customized packaging than that of QFI standard must provide or make arrangement to provide their own packaging material to QFI’s re-packing facilities. Label design is subject to approval by Quality First International Inc.

• For co-branding, the product description will remain unchanged along with the colour of the product name.
• Co-branded product should have a pricing structure based on QFI’s discretion.
• Minor changes not affecting content, image and structure of the label may be allowed under co-branding. All changes must receive prior approval and should be implemented by Quality First International who will submit the implementations to the client for final approval.
• The product name is a registered trademark and any use of it must have permission from Quality First International.
• The product description and promotional materials for Virgin Oil de Coco-Crème® and other QFI’s branded products are owned and copyrighted by Quality First International Inc. Usage is governed by approval of Quality First International Inc.
• The product description and promotional materials for Virgin Oil de Coco-Crème® only apply to Virgin Oil de Coco-Crème® and not to other types of virgin coconut oil marketed by Quality First International Inc. or any of its private label clients. The same rules apply to all QFI’s branded products.
• Co-branded Virgin Oil de Coco-Crème®, description and promotional materials are used with permission from Quality First International Inc. This permission should show on the text as copy right with permission from Quality First International as follows: “Virgin Oil de Coco-Crème ® is a registered trademark of Quality First International Inc. and is used under license”
